Companies (Appointment and Qualification of Directors) Amendment Rules, 2025 | DIR-3 KYC Web

Companies (Appointment and Qualification of Directors) Rules, 2014 replaces references to the “Regional Director (Northern Region), Noida” with “Regional Director, Northern Region Directorate I” and standardises filings to a single web-based Form DIR-3-KYC-Web. It revises Rule 12A to require directors to file KYC only once every three consecutive financial years by 30 June, instead of annually, while mandating filing within 30 days for any change in mobile number, email ID, or residential address.  The amendment also substitutes the existing DIR-3-KYC forms with a consolidated DIR-3-KYC-Web form and comes into force from 31 March 2026

Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2025 | Indemnity Bond in case of Government Companies

MCA has notified the Companies (Removal of Names of Companies from the Register of Companies) Amendment Rules, 2025, inserting a proviso to Rule 4(3) regarding the indemnity bond requirement. Under the amendment, in case of Government companies (including subsidiaries), the indemnity bond in Form STK-3A for directors appointed or nominated by the Central/ State Government may be executed on behalf of the company by an authorised representative not below the rank of Under Secretary or equivalent in the concerned administrative Ministry or Department.

MCA further extends filing date for filing of Annual returns for F.Y. 2024-25

In view of the representations received from stakeholders, the MCA has further extended the due date for filing annual filings [e- Forms MGT-7, MGT-7A, АОС-4, АОC-4 CFS, AOC-4 NBFC (Ind AS), AOC-4 CFS NBFC (Ind AS), AOC-4 (XBRL)] pertaining to FY 2024-25 up to 31st January, 2026 without payment of additional fees

MCA extends filing date for Annual Returns for F.Y. 2024-25

The Ministry of Corporate Affairs has extended the deadline for filing financial statements and annual returns for FY 2024–25 without additional fees until 31 December 2025 due to the rollout of revised e-Forms, while clarifying that this relief does not alter the statutory timeline for holding Annual General Meetings.

Annual General Meeting (AGM) through VC / OAVM

MCA, via General Circular 03/2025 dated 22 September 2025, has clarified that companies may continue to hold AGMs through VC / OAVM as per General Circular 20/2020 dated 5 May 2020, until further notice

Relaxation of filing fees for 13 eForms during migration from V2 to V3 Portal

The Ministry of Corporate Affairs has granted a one-time relaxation of additional fees for filing 13 specified e-forms due to the transition from MCA21 V2 to V3, covering filings whose due or resubmission dates fall between 18.06.2025 and 31.07.2025. Stakeholders can file these forms without extra fees until 15.08.2025, once the forms are live on the new portal.
